This website is operated by Smileday (hereinafter referred to as "our company"). We define the terms of use for the services on this website (hereinafter referred to as "this service") as follows. Please read these terms (hereinafter referred to as "these terms") carefully before using this service.

Chapter 1: General Provisions
Article 1: Scope and Modification of these Terms

    These terms apply to the use of this service common to the website operated by our company.
    These terms apply to all users (defined in Article 3). Users cannot use this service without agreeing to these terms.
    Without obtaining prior consent from the user, we may modify all or part of these terms by posting on the website or by notifying the user in a manner deemed appropriate by our company, such as email.
    If all or part of these terms are modified, the modified terms will apply to the use of this service, and users shall comply only with the modified terms.

Article 2: Use of this Service

    Users shall use this service in accordance with laws, regulations, notices, these terms, and the privacy policy separately established by our company.

Chapter 2: Users
Article 3: Definition of User

    In these terms, "user" refers to anyone who, after fully understanding and approving the content of these terms, searches for, views, or uses images, text, design, logos, videos, programs, ideas, information, etc. (hereinafter collectively referred to as "content") provided in this service by our company.

Article 4: Members

    In these terms, "member" refers to a user who, after fully understanding and approving the content of these terms, applies for membership registration according to the procedures specified by our company and is approved by our company.

Article 5: Membership Registration

    Those wishing to register as members shall apply for membership registration following the procedures set by our company on the membership registration page of this service. When we approve the application, we will send a registration confirmation email. Upon receipt of this email, the applicant will be registered as a member. However, we will not approve the registration if any of the following applies:

    (1) It is discovered that the membership applicant has violated the terms of any service provided by our company in the past (including these terms but not limited to them) and was subject to actions such as member registration cancellation.

    (2) It is found that the membership application contains false information.

    (3) It is found that the membership applicant has, without valid reasons, previously defaulted on payment obligations for any service provided by our company, repeatedly failed to accept products, refused returns or exchanges, did not respond for a long time, or committed other breaches.

    (4) It is found that the applicant has violated Article 17 (Prohibited Actions) of these terms.

    (5) Our company reasonably judges that it is inappropriate to approve the registration from an operational and management perspective.

Article 6: Change in Registration Details

    Members must provide truthful and accurate information to our company during registration. If there are any changes to the entire or part of the details registered with our company, members must promptly change the registered content through the method separately specified by our company. Our company shall not be responsible for any damages incurred due to the member not updating the registration details as needed.

Article 7: Suspension of Service Use and Cancellation of Membership Registration

    Our company may, without prior notice, suspend the use of this service for a particular member, cancel their membership registration, or take any other action deemed appropriate if the member falls under any of the following. Please note that our company will not be responsible for any disadvantages or damages incurred by members due to measures taken based on this clause:

    (1) It is discovered that the member has previously violated the terms of any service provided by our company and has been subjected to actions such as membership registration cancellation.

    (2) It is found that the registered content contains false information.

    (3) It is discovered that the member has, without a valid reason, defaulted on payment obligations, repeatedly failed to accept products, refused returns or exchanges, did not respond for a prolonged period, or committed other breaches in relation to any service provided by our company.

    (4) It is found that the member has violated Article 17 (Prohibited Actions) of these terms.

    (5) The member has passed away or received a judgment for the commencement of guardianship, curatorship, or assistance.

    (6) The member is determined by our company to be, or to have been, involved with antisocial forces or to have interactions or involvement with antisocial forces through funding or other means.

    (7) Our company determines it necessary for the operation and maintenance of this service.

    (8) The member has violated any provisions of any terms set by our company (including these terms but not limited to them).

Article 8: Withdrawal Procedure

    Members can withdraw at any time by going through the procedures specified by the company. Members will lose their membership status once the company has received the withdrawal request.

Article 9: Management of User ID and Password

    Members shall have one User ID per person.
    Members are responsible for strictly managing and storing the User ID and password set by themselves during registration or similar processes.
    Except with the prior consent of the company, members shall not allow a third party to use, transfer, sell, inherit, lend, disclose, or leak their User ID or password.
    If a member becomes aware that their User ID or password is being used illicitly by a third party, they must immediately contact the company.
    Members are responsible for any damage arising from inadequate management or misuse of their User ID or password, unauthorized use by a third party, etc. The company shall not bear any responsibility in this regard.
    If a member forgets their User ID or password, they must report to the company and follow its instructions. Additionally, any use of the service through the corresponding User ID and password will be considered as having been used by the member themselves.

Article 10: Use of Personal Information

    Regarding the personal information of members that the company becomes aware of in connection with the use of this service, it will be handled in accordance with the "Privacy Policy" separately established by the company.

Article 11: Purchase of Products

    Members can purchase products, etc., from the company using this service.
    If members wish to purchase products, they must apply to purchase or use the products in the manner separately designated by the company.
    When applying for a purchase, after confirming the delivery destination, order contents, etc., entered/registered by the member and clicking the button to place the order, and then receiving an email from the company confirming the order contents, a sales contract for the said products, etc., shall be established between the member and the company.
    Once the sales contract is established, only if the member contacts the company by 17:00 on the day of the order to request cancellation, the company will accept the order cancellation. However, cancellations after 17:00 on the day of the order will not be possible.
    Members cannot return or exchange products after receiving them. Furthermore, even if members wish to return or exchange products after receiving them, the company is not obliged to refund the product price, handling fees, or shipping costs to the user. However, this does not apply if there is a notification of non-performance from the credit card company designated by the member.
    Notwithstanding the provisions of the preceding paragraph, if there is any fraudulent or inappropriate behavior related to the use of this service, the company may cancel, terminate, or take other appropriate measures concerning the sales contract.

Article 12: Payment Method

    The payment amount for products includes the purchase price of the product, including consumption tax, as well as handling fees and shipping costs related to it.
    Payments for products purchased through this service are limited to payments by credit cards in the member's name or other payment methods separately approved by our company.
    When payment is made by credit card, members shall comply with the terms separately contracted with the credit card company. Furthermore, if any dispute arises between the member and the credit card company related to the use of the credit card, it shall be resolved solely between the member and the credit card company.

    Special provisions against unauthorized credit card use
    As a measure against the increasingly frequent unauthorized use of credit cards, our company has established the following special provisions for some of the members who place orders:
    - We will send an email to the registered email address for members who have completed an order with a credit card payment, to confirm the legitimate use of the credit card. In addition to phone calls to confirm the order, we may also require the submission of documents in some cases. Members are deemed to have agreed to this at the time of order completion. However, if the member is unable to fulfill this obligation for any reason, or if our company deems it inappropriate, we may change the payment method.
    - If you do not receive an email about the verification of credit card use within 24 hours to the registered email address, please contact our company.
    ※ If we don't receive any communication from you, we won't be responsible for any failure in sending due to server issues, domain specifications, spam filters, or any other problems.
    - If no response is received from the member within 5 days (including weekends and holidays) after our communication about verifying the legitimate use of the credit card, or if the member cannot meet the verification requirements by the deadline, our company may cancel the member's order without notice. Under no circumstances will we guarantee stock availability. After this deadline, we will not be obliged to respond to any requests from the member. However, if the member completes the payment by another method specified by our company by the deadline, we will confirm the order and guarantee the stock.

Article 13: Exemption regarding Products and Services

    Except as provided in the previous article, our company does not guarantee or assume any responsibility regarding the quality, material, function, performance, compatibility with other products, or any other defects of the products and services offered, or any damages, losses, or disadvantages arising from them.

    In cases of trouble due to unclear delivery destinations, our company fulfills its obligation to deliver the product by contacting the member at the registered contact information and delivering the product to the designated destination at the time of purchase, thereby being exempted from that obligation.

    While our company strives to ensure the availability of stock items, there may be occasions when a product is out of stock, or due to price discrepancies or other misrepresentations, we cannot provide the product. In these cases, we may need to cancel the member's order. Detailed procedures for such cases will be separately notified to the member. Even in these cancellation situations, members cannot claim any damages, loss compensation, etc., from our company.

    Regardless of the legal cause, our company will not be responsible for any damages, losses, or disadvantages related to the use of this service or the products sold through this service, except as provided in the previous article.

Article 15: Use of Account Page

    Members can use the account page specified by our company. After logging in, members can view various features on the account page, and input, modify, update, or delete information related to these features.

Article 16: Disclaimers

    If there are links from this service to other websites or resources, or links from third-party websites or resources to this service, we do not guarantee or take any responsibility for the content, use, and outcomes (including legality, validity, accuracy, reliability, safety, timeliness, and completeness, but not limited to these) of the linked sites. Moreover, if we reasonably judge that the content of the linked website or resource is illegal or inappropriate for the management and operation of this service, we can remove the link without notifying members.
    If there are transactions with advertisers conducting advertisements (including sweepstakes advertisements but not limited to them) or promotions within this service (including participation in sweepstakes and other promotions but not limited to them), users are responsible for the transaction on their own discretion, and we take no responsibility for it. We do not guarantee anything about the payment for products or services, contract terms, warranties, collateral responsibilities, the presence or absence of licenses, or any other matters concerning transactions. We will not be liable for any damages caused to members due to transactions made through the advertisements or promotions posted in this service.
    Even if this service is temporarily suspended, discontinued, or changed for the following reasons, we will not be liable for any direct or indirect damage, loss, disadvantage, etc. suffered by members.

    (1) In case of natural disasters like fire, earthquake, flood, lightning, heavy snow, etc.

    (2) In case of social unrest like wars, civil disturbances, terrorism, riots, upheavals, etc.

    (3) When we cannot receive appropriate services from contracted telephone companies, carriers, or providers.

    (4) When there are technically unmanageable reasons.

    We fulfill and are exempt from our obligations by processing administrative matters according to the member's registration details.
    If a member causes any damage to other users or third parties by using this service, the member shall resolve it at their own expense and responsibility and shall not cause any damage, loss, or disadvantage to us.

Article 17: Prohibited Matters

    Users shall not engage in any of the following actions. If any violation of this causes damage to us or a third party, the user will be responsible for compensating for all such damage (including reasonable attorney's fees).

    Actions that cause inconvenience, disadvantage, or damage to other users, third parties other than users, or our company, or actions that have the potential to do so.
    Actions that infringe or have the potential to infringe on the copyrights, intellectual property rights, portrait rights, personal rights, privacy rights, publicity rights, or other rights of other users, third parties other than users, or our company.
    Using the service for commercial purposes (excluding what we have previously approved).
    Acts that violate public order, good morals, or other laws, or acts that have the potential to do so.
    Registering information containing false or misleading content.
    Using content obtained through this service outside of private use.
    Replicating, selling, publishing, distributing, making public, or similar acts involving content obtained through this service via other users or third parties other than users.
    Collecting, accumulating, or storing the personal information of other users.
    Uploading content to this service, or sending it via email, that is designed to interfere with, destroy, or restrict the functionality of computer software, hardware, or communication equipment, such as computer viruses, computer code, files, or programs, or any other acts that obstruct the provision of this service.
    Acts that violate laws, court judgments, decisions, or orders, or administrative measures with legal binding force, or acts that encourage such violations.
    Acts of providing benefits to antisocial forces, etc.
    Acts contrary to the terms and objectives of this service.
    Any other acts that we reasonably judge to harm or diminish our credibility.

Article 18: Intellectual Property Rights

    All intellectual property rights of content provided through this service belong exclusively to us.
    Regardless of the purpose, if we discover any acts that violate domestic and international copyright laws and other laws, such as unauthorized reproduction, unauthorized reprints, and other unauthorized secondary uses of our content, we will immediately take legal measures.
    If any dispute arises with a third party due to a violation of the provisions of this article, the member shall resolve it at their own expense and responsibility and shall not cause any damage, loss, or disadvantage to us.

Chapter 4: Service Operation
Article 19: Information Management

    We collect the following information about the user's access history for the purpose of investigating user access history and usage status, or to improve our services to users.

    (1) Information about the IP address when the user accesses our service server or the device identification number of a mobile device.

    (2) User access information obtained through the technology of cookies (a technology where temporary data is written to the user's computer through a web browser, recording the last date and time the user visited the site, the number of visits to that site, etc.). Users should be aware that if they set their web browser to reject cookies, their use of the service may be restricted.

Article 20: Service Maintenance

    In order to maintain the smooth operation of the service, we may temporarily suspend or terminate all or part of the service without prior notice to users in any of the following cases. Furthermore, we shall not be liable for any disadvantage or damage caused to members by measures taken based on this article.

    Regular and emergency maintenance of the computer system (hereinafter referred to as the "System").
    In the event of natural disasters such as fires, earthquakes, floods, lightning strikes, heavy snowfall, etc. making it difficult to operate the System.
    In case of war, civil strife, terrorism, riots, disturbances, etc. making it difficult to operate the System.
    When it becomes difficult to operate the System due to malfunctions, unauthorized access by third parties, computer virus infections, etc.
    When requested by administrative or judicial authorities based on reasonable grounds.
    In other cases where we deem it unavoidable to stop or suspend the System.

Article 21: Prohibition of Assignment of Rights and Obligations

    Members may not assign, inherit, provide as collateral, or dispose of their rights or obligations under these terms, or their status under these terms, to a third party, unless they have our prior written consent.

Article 22: Handling in Case of Business Transfer

    If we transfer or assign our service or the business related to our service to a third party, we can transfer our status, rights and obligations under these terms, as well as member registration information and the like to the transferee or assignee in connection with such business transfer, and members are deemed to have agreed in advance to such transfer or assignment in this article.

Article 23: Governing Law and Jurisdiction

    All disputes relating to this service and these terms and conditions shall be governed by Cambodian law, and the courts having jurisdiction over the location of the main office shall be the exclusive agreed jurisdictional court.

Article 24: Exchanges, Returns, and Refunds

    Returns
    If the delivered product is defective or if a product different from the order is delivered, we will handle it by returning or exchanging the product.

    Please note that we do not accept returns due to customer convenience (wrong size, different from the image, ordered mistakenly, etc.).

    If you wish to exchange, please refer to the exchange procedure.

    Procedure for Returns
    In the case of defective products or incorrect deliveries, please contact us via the inquiry form within 10 days of product arrival and then send back the product.

    When the product arrives, please also return all documents (such as delivery notes) that were included with the product.

    If an exchange is not possible due to stock shortages, etc., we will handle the refund within 3 business days after confirming the returned product. Please understand.

    Shipping Cost for Returns & Exchanges
    We will bear the shipping cost for returns and exchanges due to defective products or incorrect deliveries.

    Non-returnable cases
    • Due to customer convenience (wrong size, different from the image, etc.).
    • If we are not contacted for a return or exchange within 10 days after product arrival.
    • If the product has been used or the tag has been removed.
    • If the condition of the product when returned to us is significantly different from when delivered.
    • Sale items.

    Regarding Exchanges
    We only accept exchanges for products when they are returned with the necessary documents attached within 10 days of their arrival after notifying us of the return/exchange.

    Exchanges due to customer convenience will be limited to size exchanges for the same item. We do not accept product returns or refunds, so please understand in advance.

    Exchange Procedure
    After notifying us about the return/exchange, please send the product to the return address mentioned in the reply email within 10 days of product arrival.

    Please make sure to return all the documents (like delivery notes) that were included with the product when it arrived.

    The shipping of the exchanged product will take place once the returned product arrives at our company, we verify its unused condition, and prepare the relevant product. However, this only applies if we have stock of the exchange product.

    If we cannot accept the exchange due to stock shortages, etc., we will handle the refund within 3 business days after confirming the returned product. Please understand.

    Shipping Cost for Exchanges
    For exchanges due to customer convenience, the customer will bear the shipping cost for returning the item to us.

    We will bear the shipping cost for exchanges due to defective products or incorrect deliveries.

    Non-exchangeable cases
    The following cases are not eligible for exchanges:
    • Products that have passed 10 days since arrival.
    • Products that have already been used or show signs of use after delivery.
    • If part of the product or its accessories are missing when returned.
    • If product tags, price tags, labels, etc. have been removed.
    • If wrapping materials are missing.
    • If the necessary documents are not enclosed when returning.
    • If the product has already been exchanged once.
    • If the condition of the returned product (including boxes and accessories) is significantly different from when delivered.
    • Sale items.

    About the Sales Price
    The prices displayed on the site, as well as the sale prices, may change without notice.

    All prices displayed on the site are inclusive of consumption tax.

    Additionally, we cannot accommodate refunds for price changes made after the completion of the purchase process.

    About Refunds
    For returns due to reasons such as damages upon arrival, which are attributable to our company or the delivery provider, we will refund both the product price and the shipping fee.

    ● For electronic payments: We will refund to your specified bank account through an easy and secure online payment service that completes both sending and receiving on the web.

    After the returned item has arrived and been verified by our company, we will send you an email about the refund process within 1 to 2 weeks.

    ● In the case of credit card payments: We handle adjustments through the credit card company.

    At the time of the refund process, if the original charge was finalized due to the closing date of your credit card, the amount will first be debited and then offset or refunded in the following month's usage amount.

    ※ If the product price exceeds the free shipping threshold and becomes free, but a product return brings it below the threshold, we will deduct the shipping amount from the refund amount.

Article 25: Repairs and Warranty

    The warranty for products sold through this service is based on the warranty regulations of each manufacturer. The warranty period and content may differ depending on the product or manufacturer.

    About Repairs
    Our company does not provide repair services. If the product has a defect or issue, please contact the manufacturer directly. Specific contact information and procedures are outlined in the product’s warranty document or instruction manual.

    About Shipping Costs
    The cost of shipping for repairs will be in accordance with each manufacturer's warranty regulations. For details, please inquire with the manufacturer.

Article 26: About Delivery

    Shipping Fee
    • Free shipping nationwide in Japan (even for remote islands, no additional shipping fee will apply).
    • For international shipping, shipping fees vary depending on the delivery region, so additional charges may apply.

    Delivery Service

    • Japan: Japan Post, Yamato Transport, Sagawa Express
    • International: The shipping carrier used varies depending on the purchase region.

    Delivery Destination

Article 27: Others

    When using a credit card for online payment, the name of the payment processing company that our shop is affiliated with may be displayed in the "Shop Name" field of the card statement.

    Alternatively, instead of the payment processing company's name, the "Shop Name + Telephone Number" may be displayed. Supplementary Provision: This agreement will be applied to all users from November 1, 2021.

    ※ A payment processing company is a company that handles credit card payments on behalf of the store.

    If any issue related to the use of this service cannot be resolved through this agreement or our guidance, both the company and the user shall discuss in good faith to resolve it.

Article 28: Obligations of the Bank

    1.Under this Agreement, the Bank agrees and shall undertake to:

    i.Provide facility enable the merchant to accept direct checkout/Credential on file payments made through its website, mobile payment, and/or other payment platforms by a cardholder over a valid card payment, and the Bank hereby reserves the right to appoint a third party to enable receipt of such payments, on terms and conditions as it may deem fit.

    ii.Provide good payment facilities to support merchant operation within 24 hours a day, seven days a week.

    iii.Provide the security facility that has strong ability to protects card information transmitted by the Software from (A) unauthorized interception, (B) unauthorized modification or alteration after its origination, (C) undetected initiation by entities posing as other entities, (D) unauthorized replication.

    2.The Bank's obligations described above are subject to the following limitations:

    i.Messages that originate from the server of the Merchant or the server of a third party designated by Merchant (e.g., a host) shall be deemed to be authorized by the Merchant, and the Bank shall not be liable for processing such messages.

    ii.Messages that originate from the Cardholder are deemed to be authorized by the Cardholder and the Bank shall not be liable for processing such messages.

    iii.The Bank is not responsible for the security of data residing on the server of the Merchant or a third party designated by the Merchant (e.g., a host) or on the server of a Cardholder or a third party designated by a Cardholder (e.g., a host).

    iv.The Bank shall have no liability for any failure or delay in performing its obligations under this Agreement if such failure or delay: (A) is caused by the Merchant's acts or omissions; (B) results from actions taken by the Bank in a reasonable good faith effort to avoid violating a law, rule or regulation of any governmental authority or to prevent fraud on Cardholders; or (C) is caused by circumstances beyond the Bank's control, including but not limited to vandalism, hacking, theft, phone service disruptions, Internet disruptions, loss of data, extreme or severe weather conditions or any other causes in the nature of force majeure .

    v.Sathapana Bank is not liable for, nor will it become involved in any dispute between merchant and its customers, whether the dispute be related to service quality, improper calculation of payment, or any other issues. Bank will not revoke or reverse any successfully processed payments.

    vi.Sathapana Bank will ensure its merchants keep documents of acknowledgement of delivery of goods and/or services, warranty of goods and/or services, evidence showing receipt of goods and/or services by the Cardholders, for at least six (6) months; shall not be liable for its safe keeping and documentation thereafter.

    3.The Bank shall always comply with applicable laws, rules, and regulations in so far as relevant to its provision of the facility.

Supplementary Provision: This agreement will be applied to all users from November 1, 2021.
